1. Definitions
   • Whenever used in these terms and conditions with capital letters, the following words shall have the following meanings:
     • “Article” or “Articles”: the products sold through the online e-commerce platform hosted on the Website;
     • “Consumer Code”: Legislative Decree No. 206 of 2005, as amended and supplemented.
     • “Consumer” or “Consumers”: the User over the age of 18 (eighteen) who expressly declares himself/herself to be a consumer pursuant to Art. 3, paragraph 1, letter a) of Legislative Decree 206/2006 and subsequent amendments and additions and who makes the purchase for purposes not related to his/her commercial, craft, entrepreneurial, and/or professional activity;
     • “Sales Contract”: the contract for the sale of Items concluded on the Website between Mg Planet and the Consumer;
     • “Cookie Policy”: the extended information on the use of cookies on the Website, available here;
     • “Termination Date”: the day on which the Sales Contract is terminated due to the impossibility of delivery through the fault of the User, pursuant to Article 11 of the T&C – Consumer;
     • “GDPR”: Regulation (EU) 2016/679 and subsequent amendments and integrations.
     • “Payment Processor”: the payment service provider appointed to execute the transaction when the Consumer opts to pay by credit card, namely Stripe Payments Europe, Ltd. or NEXI Payments S.p.A., depending on the area from which the Consumer initiates the payment.
     • “MG Planet”: the company MG Planet SA -Schützenhausstrasse 17, 2552 Orpund / Switzerland• -CHE-113.730.717 in the person of its pro tempore legal representative;
     • “Parties”: Mg Planet and the Consumer who has entered into a Sales Contract with Mg Planet, jointly;
     • “Privacy Policy”: the information notice on the processing of personal data on the Site, available here.
     • “Intellectual Property”: the name and trademark “MG Planet”, “Orologio del centenario” (and any graphic variations thereof), as well as any other distinctive sign used as proprietary on the Website, as well as the software underlying the Website, as well as the design of the pages, their elements, and the texts of the Website;
     • “Website”: the websites linked to the domain names “maestropuccini.it” and “Orologiotascabilecentenario.com/it”;
     • “T&C – Consumer”: these Website sales terms and conditions, which govern the terms and conditions of sale in business-to-consumer relationships;
     • “T&C – Use of the Website”: the terms and conditions of use of the Website that govern the terms and conditions of browsing the Website and using the services it offers, available here;
     • “User” or “Users”: any user who browses the Website.

2. Introduction
   • The Website is owned by Mg Planet and is dedicated to presenting watches commemorating the centenary of Giacomo Puccini’s death and to selling the Items.
   • These T&C – Consumer govern the terms and conditions under which Mg Planet grants Consumers the exclusive right to purchase Items on the Website.
   • In addition to these T&C – Consumer, the T&C – Use of the Website are also published on the Website.
   • The purchase of Items through the Website is subject to acceptance of these T&C – Consumer, the T&C – Use of the Website, the Privacy Policy, and the Cookie Policy; acceptance is deemed to be completed when the User consults any page of the Website. If the User does not intend to accept these T&C, the Privacy Policy, and the Cookie Policy, they should simply refrain from browsing the Website and/or using the online purchase service for the Items available therein.

3. Registration on the Website
   • To purchase the Articles on the Website, an account is not required; however, the Consumer must provide Mg Planet with the billing details (e.g., first name, last name, shipping address, telephone number, and a valid and functioning e-mail address), accept these T&C – Consumer, and declare that they have read the Privacy Policy by ticking the relevant boxes. Failure to accept these T&C – Consumer and the Privacy Policy will make it impossible to make purchases on the Website.
   • Registration on the Website is free of charge. To register, the Consumer must click on the image “” in the header of the Website, then click on “REGISTER,” then fill out the registration form by entering their first name, last name, valid and functioning email address, password, then accept the Privacy Policy by clicking on the appropriate box and, finally, click on “REGISTER” at the bottom of the form. Registration will be confirmed to the Consumer via email.
   • Registration data may only be used by the Consumer and cannot be disclosed to third parties. The Consumer agrees to keep them confidential and to ensure that no one has access to them. They must immediately inform MG Planet of any suspected misuse and/or disclosure.
   • The Consumer guarantees that the personal information provided during the registration process on the Website is complete and truthful. The Consumer undertakes to indemnify Mg Planet from any obligation to pay compensation for damages and/or penalties arising from the Consumer’s violation of the rules governing registration on the Website.

4. Order placement procedure and conclusion of the Sales Contract
   • The Sales Contract is concluded exclusively online through the Consumer’s access to the Website, where, by following the indicated procedures, they will formalize the purchase proposal for the Items and acceptance of these Terms & Conditions – Consumer.
   • Any promotional codes that can be used on the Website can be entered during checkout on the payment page. Promotional codes may have a start and end date, a specific threshold for application, and a series of exclusions. Furthermore, they cannot be combined with other offers and promotions. Their use may result in some changes to the total amount of the order at checkout.
   • A purchase order can be placed by selecting an Item in the “Shop” section or other links on the Website, followed by clicking on “ADD TO CART.” To make the payment, the Consumer must click on the “PROCEED WITH THE ORDER” button or on “” in the header of the Website, where a summary of the order will appear, including the price, shipping costs, and any additional charges. In case of acceptance, the Consumer must:
     • Provide all the data necessary for its processing (such as first name, last name, shipping address, phone number, and a valid, functioning email address) or, if already possessing an account, log in by clicking “Click here to log in.”
     • Select the payment method from those available;
     • accept these T&C – Consumer and the Privacy Policy by selecting the appropriate boxes
     • click on “PLACE ORDER.”
   • Without prejudice to the provisions of Article 2.2 above, during the order process, the Consumer may request to receive an invoice for the Items purchased by selecting the appropriate box. In this case, the Consumer will be required to enter the additional mandatory information requested (i.e., company name, VAT number, and tax code).
   • The Sales Contract is concluded following the Consumer’s accurate completion of the order form, execution of the payment, and subsequent sending by Mg Planet to the Consumer of the order and payment confirmation form via email, always preceded by the display of a printable web page confirming and summarizing the order. This page includes the customer’s and order details, the price of the purchased item(s), shipping costs and any additional charges, the terms and methods of payment, the address where the item(s) will be delivered, the delivery time frame, and the existence of the right of withdrawal.

5. Rejection, cancellation, and modification of the Consumer’s order
   • Mg Planet reserves the right to refuse any orders from Consumers for any reason.
   • Mg Planet also reserves the right to cancel any purchases (an order already accepted by the Site) in the presence of, among other things, the following conditions, without being held liable for any damages and/or costs (in which case the Sales Contract shall be deemed terminated by mutual consent):
     • The item is not available;
     • The billing information provided by the Consumer is incorrect or cannot be verified;
     • The Consumer does not provide sufficient guarantees of solvency;
     • There are disputes of any kind pending between traMg Planet and the Consumer at the time of the order;
     • The order is flagged by the security systems as an “unusual order” or as an “order potentially susceptible to fraud.” In the case of suspected fraud, before proceeding with the cancellation of the order, MG Planet reserves the right to verify the bank details and/or the identity of the Consumer. By placing the order, the Consumer agrees to provide MG Planet with the information and documents necessary for such verifications. In the absence of such documents and information, MG Planet reserves the right to cancel the order under anti-fraud review.
     • Mg Planet has reason to believe that the order has been placed by a person under the age of 18 (eighteen);
     • Mg Planet has reasonable grounds to believe that the order has been placed by a retailer or other professional buyer and therefore in violation of the provisions of Article 2 of these T&C – Consumer;
     • the Item has been priced incorrectly;
     • Mg Planet cannot deliver to the delivery address provided.
   • It is not possible to cancel or make changes to an order once it has been submitted. The Company reserves the right to evaluate whether to accept any requests for cancellation or modification of the order received before the Items are shipped to the Consumer and, in any case, within 12 (twelve) hours of the conclusion of the Sales Contract pursuant to Article 4 above. Requests to cancel or modify the Consumer’s order must be sent to Mg Planet customer service by email at info@Mgplanet.it, indicating the order number and date of submission. Mg Planet customer service will contact the customer to communicate the feasibility of the requested cancellation or modification.
   • The Company reserves the right to postpone shipment if the order cannot be shipped in a single shipment. Orders placed separately will be shipped separately.

6. Availability of Items
   • If the ordered item is unavailable, the Consumer will be promptly informed by email and the purchase order will be canceled. If payment has already been made, Mg Planet will refund the total amount paid by the Consumer – consisting of the purchase price, shipping costs, and any other additional costs – within 14 (fourteen) days from the day following the conclusion of the Contract in accordance with Article 4 above. The refund amount will be communicated by email and credited using the same payment method used by the Consumer for the purchase. Any delays in crediting may depend on the bank, the type of credit card, or the payment solution used. In any case, the value date of the re-credited amount will be the same as the debit date.
   • If an order includes a quantity of Items that is not available in stock, MG Planet will inform the Consumer by email or phone whether the Item is no longer available or, alternatively, the expected waiting time to receive the chosen Item. The Consumer will then be asked whether they wish to confirm the order or are willing to receive only the available Items. In the latter case, the Consumer will be charged only for the Items they receive or refunded if payment has already been made.

7. Prices
   • All sales prices of the Items are expressed in euro(€) and constitute an offer to the public pursuant to Article 1336 of the Italian Civil Code.
   • The prices of the Items indicated on the Website include standard packaging costs, VAT (where applicable) and any indirect taxes (where applicable) but do not include shipping costs, which are calculated before the order confirmation sent by the Consumer and which the Consumer undertakes to pay to Mg Planet in addition to the price indicated on the Website.
   • Depending on the country where the Items are to be delivered, the Website will indicate, during the order creation process, the shipping costs that the Consumer undertakes to pay in addition to the price of the Items ordered.
   • Except for orders with a shipping address in the United States of America, if the Items are to be delivered to a country outside the European Union, the total price indicated in the order and confirmed in the order confirmation, including indirect taxes (where applicable), is net of any customs duties and other taxes that the Consumer undertakes to pay, if necessary, in addition to the price indicated in the order and confirmed in the order confirmation, in accordance with the law of the country where the Items are to be delivered. The Consumer is advised to contact the competent authorities of the country of residence or destination of the Products in order to obtain information on any applicable taxes or duties. Any additional costs, charges, taxes, and/or amounts imposed by a particular country on the Items ordered under these T&C – Consumer shall be borne exclusively by the Consumer. The Consumer declares that lack of knowledge of the costs, charges, duties, taxes, and/or amounts imposed referred to in this Article 4 at the time of placing an order with Mg Planet shall not be grounds for termination of the Sales Contract and shall in no way be a source of liability for Mg Planet.
     
     
   • The prices of the Items may be subject to change, provided that the price charged to the Consumer will be the one published on the Item’s page at the time the order is placed, without any consideration of subsequent price increases or decreases. In the event that Mg Planet finds an error in the price of an Item, Mg Planet will give the Customer the option to reconfirm the purchase of the products at the correct price or to cancel it.

8. Payment
   • Payment for the Items can be made exclusively using the following payment methods and any others that may be indicated on the Website:
     • bank transfer. Purchases made by bank transfer are deferred. Once the Sales Contract has been concluded, the Consumer’s order is held in abeyance until Mg Planet receives the relevant price credited to the Mg Planet bank account indicated in the order confirmation. Mg Planet does not charge additional costs for payments made by bank transfer. However, Mg Planet’s and/or the Consumer’s bank may apply a commission depending on the card and the bank itself;
     • Cash on delivery (ONLY FOR SHIPMENTS IN ITALY). Purchases made using cash on delivery require the order to be completed and shipped to the Consumer with delivery of the Items upon payment of the amount due. A surcharge of €12.00 is added to the shipping costs for cash on delivery. Cash on delivery is only possible in cash and only for shipments within Italy. Mg Planet reserves the right to contact Consumers who have opted for cash on delivery by telephone to verify the authenticity of the order before processing it with cash on delivery, and also reserves the right, at its sole discretion, to prohibit this payment method for Consumers who do not provide sufficient guarantees of reliability and/or solvency. Consumers who choose cash on delivery (i) undertake to be present at the shipping address on the date of delivery of the Items; (ii) to make payment in cash to the courier; and (iii) waive any right to refuse the Items delivered, even if delivered later than expected. The Consumer acknowledges that violation of the commitments referred to in points (i), (ii), and (iii) above may result in serious damage to Mg Planet and undertakes to reimburse all expenses incurred by Mg Planet, as detailed by Mg Planet in a communication sent by email to the Consumer.
       
       
     • Credit Card. Payment by credit card is processed through Stripe Payments Europe, Ltd. or NEXI Payments S.p.A., depending on the region from which the Consumer requests credit card payment. Credit or debit cards from the VISA, Mastercard, and Amex networks can be used. MG Planet does not charge additional fees for payments made by credit card. However, the bank may apply a fee depending on the card and the bank itself.
       When paying by credit card, at the moment of completing the online transaction, the Payment Provider charges the total amount of the purchase to the Customer’s credit card. If an order is canceled, whether by the Consumer or MG Planet (due to non-acceptance of the order), MG Planet will refund the amount to the credit card used in the purchase process. The timing of the refund depends solely on the Payment Provider. Once the order cancellation has been requested, MG Planet cannot be held responsible for any direct or indirect damages caused by delays in the refund by the Payment Provider.
       MG Planet is not responsible for any fraudulent or illegal use of credit cards by third parties during the payment for purchased products. At no point during the purchase process is MG Planet able to know the buyer’s credit card number, which is transmitted via a secure connection directly to the Payment Provider.
       Credit card payments are subject to the following conditions:
       (i) The order holder must be the cardholder.
       (ii) Products will be shipped to the address indicated by the order holder unless otherwise agreed in writing between MG Planet and the Consumer.
       MG Planet reserves the right to request additional information or documentation proving the Consumer’s ownership of the credit card used. In the absence of such documentation, MG Planet reserves the right to refuse the order.
       
       
     • PayPal. With PayPal, the Consumer can securely pay for purchases without additional costs and without sharing data. A PayPal account works like a virtual wallet that can be linked to credit cards, debit cards, prepaid cards, and bank accounts. Once bank accounts and cards are connected to the PayPal account, they can be used for purchases without the need to enter different numbers or details each time.
       Automatic encryption systems help maintain high security standards, and every transaction is monitored 24 hours a day by PayPal to prevent fraud, phishing emails, identity theft, and other inconvenient situations.      • Scalapay. If the Consumer purchases using Scalapay, they receive their order and pay in 3 (three) installments. The Consumer acknowledges that the installments will be assigned to Incremento SPV s.r.l., related parties, and their assignees, and authorizes such assignment.
       When making a purchase using this payment option, the Consumer consents to the transfer of their personal information to Scalapay, which will then transfer it to Incremento SPV s.r.l. for the purpose of processing the payment.
       Once the “Pay in installments with Scalapay” option is selected, the Consumer is redirected to the Scalapay website, where the payment is divided into 3 (three) interest-free installments, which the Consumer can accept by entering the personal and banking information required to process the payment for all installments.
       The installment payments are managed directly by Scalapay. Therefore, for any information or requests regarding the balance of the installments, the Consumer is invited to contact Scalapay directly.
   • The e-Commerce software used by Mg Planet incorporates the best information-encryption techniques based on the SSL (Secure Socket Layer) protocol. The use of this technology ensures that confidential information travels over the internet only in encrypted form, meaning it is encoded using a complex mathematical algorithm that guarantees the confidentiality of communications and the inaccessibility of transmitted data.
     The Consumer can use an SSL server completely transparently by using browsers such as Safari, Netscape, Internet Explorer, Google Chrome or Firefox in their most recent versions. These browsers are capable of establishing encrypted communication with Mg Planet’s secure server, which will then transmit the Consumer’s information to the banking network (also in encrypted form) for verification.
     During the sending and receiving of data via an SSL server, screens appear indicating that a secure area has been reached (hard copy form), and the page address is characterized by the prefix “https”. Mg Planet uses an SSL server for transmitting credit card data. Pratically: after selecting payment by credit card, the Consumer is directed to a page that allows them to enter their data and subsequently submit it to the server. Access to the SSL server occurs only at the moment the data is actually sent. Until the “Send Data” button is pressed, there is no risk: the data remains on the Consumer’s computer.

9. Delivery Times and Methods
   • Through its contracted courier, MG Planet delivers the Items to the address provided at the time of order within 3 (three) – 5 (five) business days within Italy and within 5 (five) – 7 (seven) business days outside Italy, except for any exceptions, which will be communicated to the Consumer by email and, in any case, no later than 30 (thirty) days from the day following the conclusion of the Sales Contract pursuant to the previous Article 4.
   • Each shipment includes an envelope containing the transport document, as well as the receipt if the Consumer has requested it. A second shipment, for any reason, of one or more of the above-mentioned documents will be arranged within 5 (five) days from the request.
   • The Items shipped are placed in cardboard boxes of various sizes, sealed on the top and bottom with customized adhesive tape.
   • The Customer is required, upon receipt, to check that the Item delivered conforms to the order placed and, in particular, to verify that:
     • the number of packages indicated on the carrier’s delivery note corresponds to the number of packages actually delivered;
     • the package is intact, not damaged or wet, and in any case compliant with the standard characteristics described in the preceding Art. 3.
   • Upon positive verification of what is detailed in the preceding Art. 4, the Consumer must sign the delivery note. The Consumer acknowledges that, by signing the delivery note, delivery is considered completed and no objections may be raised regarding what has been verified pursuant to the preceding Art. 9.4.
   • In the event of a negative verification as described in the previous Article 4, the Consumer must not accept the Items and should raise the issue directly with the carrier.
   • Under no circumstances will shipments be made to post office boxes, general delivery services, mail boxes, or similar addresses.
   • Mg Planet does not ship to countries or locations where, at its sole discretion, the minimum security conditions necessary for the transit and delivery of goods are not guaranteed. Consumers residing in countries where shipments cannot be made will not be able to finalize orders on the Site.
   • At the time of delivery, we invite the Consumer to be present at the delivery address of the order and not to authorize unattended deliveries of the Items, as neither Mg Planet nor the courier will be liable in the event of theft or loss of the package containing the Items. Furthermore, if the package containing the Items is delivered without a signature, Mg Planet will not be able to initiate the necessary investigations with the courier and the logistics department.
   • In the event of non-delivery due to the absence of the recipient at the address specified in the order form, the courier will leave a card certifying the delivery attempt (the so-called “delivery notice”). The card will indicate the telephone number that the Consumer must contact to request that the courier make a second delivery attempt, or it will provide instructions for the procedure to be followed online. After two unsuccessful delivery attempts, the package will be placed in storage. At this point, Mg Planet will contact the Consumer to release the package from storage and ensure that the Items are delivered. If necessary, Mg Planet may agree with the Consumer to modify the delivery address. If the subsequent delivery attempt following Mg Planet’s contact is also unsuccessful, or if the Consumer does not respond to the contact attempt, the package will be returned to Mg Planet and the Consumer will be notified of this circumstance via e-mail.
   • The User acknowledges that, once 30 (thirty) days have passed from the date on which the package containing the Items is returned to the Company, the Sales Contract shall be deemed terminated due to the impossibility of delivery attributable to the User, and the purchase order shall be considered terminated pursuant to Art. 1456 of the Italian Civil Code.
   • Within 30 (thirty) days from the Termination Date, Mg Planet will refund the total amount paid by the Consumer, minus the costs of the failed delivery, storage fees, and return of the product. The termination of the Sales Contract and the amount of the refund will be communicated to the Consumer by e-mail. The refund will be credited using the payment method selected by the Consumer when placing the order.
   • If, before the Termination Date, the Consumer requests to receive the purchased Item again, Mg Planet will arrange a new delivery, charging the Consumer not only for the new delivery costs but also for the costs incurred to return the product to Mg Planet.

10. Limitation of liability
    • MG Planet constantly updates the information on the Website; however, it may contain typographical errors, inaccuracies, or omissions regarding the price, availability, or technical-information sheet of the Item. MG Planet reserves the right to change or update the information at any time without prior notice to Consumers.
    • MG Planet assumes no liability for service disruptions caused by force majeure events, such as accidents, theft, explosions, fires, strikes and/or lockouts, earthquakes, floods, or other similar events that prevent, in whole or in part, the timely execution of the Sales Contract.
    • Mg Planet shall not be liable to the Consumer, except in cases of willful misconduct or gross negligence, for service disruptions or malfunctions related to the use of the internet that are beyond the control of Mg Planet or its subcontractors.
    • Mg Planet shall also not be liable for damages, losses, or costs suffered by the Consumer due to the non-performance of the Sales Contract for reasons not attributable to Mg Planet, the Consumer being entitled only to the full refund of the price paid and any accessory charges incurred.
    • The Consumer shall not be held liable for delays or issues in the payment process if they can prove that the payment was made within the time frame and in the manner indicated by Mg Planet. However, Mg Planet shall not be liable for delays in receiving payments attributable to third-party payment systems and shall therefore be entitled to delay the order confirmation until actual confirmation of payment receipt.
    • Mg Planet declines all liability for direct or indirect damages of any kind or nature, arising from the use of this Site and/or the information, images, or content contained herein. Mg Planet shall not be liable to any party for damages, losses, or costs suffered as a result of the non-performance of the contract due to the causes mentioned above.

11. User obligations
    • The Consumer agrees to pay the price of the purchased Item within the timeframes and by the methods specified in the Sales Contract.
    • The Consumer undertakes, once the online purchase procedure has been completed, to print and retain these T&C – Consumer, as well as the specifications of the product purchased.
    • The Consumer is prohibited from entering false data and/or data belonging to third parties in the registration procedure required to activate the process for the execution of the contract and related communications. Mg Planet will legally pursue any violation or abuse, in the interest and for the protection of consumers.
    • The Consumer undertakes to promptly notify Mg Planet of any change of address. Failure by the Consumer to communicate such change of address and/or relocation will remain entirely at the User’s expense and risk. Until any change of residence and/or notice of relocation is communicated, the Consumer shall be considered domiciled at the address provided at the time the order was placed, and the Consumer shall remain responsible for the ordered Article.

1. 12. Right of Withdrawal

13. The Consumer has the right to withdraw from the Sales Contract within 14 (fourteen) days from the delivery of the Articles, including partially, without providing any explanation and without incurring additional costs, provided that the following conditions are met:
    • Withdrawal must be communicated by email to “shoponline@Mg Planet.it” within 14 (fourteen) days from the delivery of the Items. This communication must specify the order number, the total amount of the purchase, the intention to withdraw from the purchase, and the product or products for which the right of withdrawal is being exercised. After the 14 (fourteen) day period from the delivery of the Items, the Consumer loses the right of withdrawal from the Sales Contract pursuant to this Article 12.
    • An essential condition for exercising the right of withdrawal is the substantial integrity of the Item to be returned. Therefore, the Items must not have been used, worn, damaged, or altered. In any case, to be entitled to a full refund of the price paid, the Item must be returned intact and, in any case, in normal condition, including the original tags, which must still be attached.
    • To simplify the collection of information, the Customer is requested to exercise the right of withdrawal by completing the following form (WITHDRAWAL FORM LINK) and attaching it to the communication referred to in Article 1.1;
    • Upon receipt of the form referred to in Article 1.1, the Consumer will receive via email from MG Planet the authorization to proceed with the return, any return code to be referenced in all communications and included in the return package, and the procedure to schedule the courier pickup.
    • Upon receiving the email from MG Planet confirming the return, the free collection of the Items will be arranged within 48 (forty-eight) working hours at the same address to which the Item was delivered, using a courier contracted by MG Planet. By way of exception to the provisions of the previous sentence of Article 1.5, if the Item being returned is a watch strap, the Consumer must independently select a courier and bear the shipping costs directly.
    • The Consumer must repackage the Item in its original case, properly protected and, if possible, in the original packaging, accompanied by the original tag and all accessories of the product (protective bags, spare parts, warranty, etc.), and affix the shipping address as follows:

    • Subject to the provisions of Article 1.5 above, in the case of withdrawal from the Sales Contract concerning watch straps, the Consumer must use the courier contracted by MG Planet.

If the withdrawal has been exercised in accordance with the described procedures, MG Planet will refund the amount paid for the purchase as soon as possible and in any case within 14 (fourteen) days from the date MG Planet becomes aware of the Customer’s exercise of the right of withdrawal, but not before the actual receipt of the purchased Items and not before verifying the integrity of the Items, which will be carried out in accordance with legal terms.
15. The refund amount will be communicated via email and credited using the same payment method used by the Consumer for the purchase. The refunded amounts will correspond to the price paid by the Consumer (list prices minus any discounts if the order was placed using promotions, discount codes, or during sales periods).

1. 13.Warranties
2. MG Planet guarantees the authenticity of all products purchased on the Site. Each Item is accompanied by an internationally valid 24 (twenty-four) month warranty from the date of purchase, according to the conditions specified therein. The warranty is personal and therefore applies only to the original Consumer.

15. 14.Contract Termination and Express Termination Clause
    • Mg Planet reserves the right to terminate the Sales Contract by simply notifying the Consumer and providing appropriate and justified reasons; in such case, the Consumer shall only be entitled to the refund of any amount already paid.
    • MG Planet and the Consumer agree that the obligations assumed by the Consumer under the preceding art. 11 are essential pursuant to art. 1457 of the Italian Civil Code.
    • Upon the occurrence of one or more of the serious breaches referred to in the preceding art. 11, the affected party shall have the right to terminate the Sales Contract pursuant to art. 1456 of the Italian Civil Code. The effects of the termination shall take place by operation of law fifteen (15) days after the receipt of the registered letter with return receipt or the e-mail message detailing the breach, if the defaulting party has not fulfilled its obligation within the same period.

16. 15. Intellectual Property Rights
    • The Consumer acknowledges the validity of the Intellectual Property and undertakes not to contest it, further acknowledging that they have no rights over all or part of the Intellectual Property.
    • The Consumer is prohibited from using the Intellectual Property in their business name, trade name, or trademark, or that of third parties, even in combination with other names, terms, and/or words. The Consumer is also prohibited from registering or attempting to register all or part of the Intellectual Property.

17. 16.Privacy
    • To proceed with the registration, some information about the Consumer is required by the Site in order to process the order and, consequently, conclude the Sales Contract. The Consumer acknowledges that the personal data provided will be processed by Mg Planet, in its capacity as Data Controller, in accordance with and in compliance with the GDPR, for the purpose of completing each purchase made through the Site and, with the Consumer’s prior consent, any further activities as indicated in the Privacy Policy provided to the Consumer through the Site at the time of registration and order completion.
    • The Consumer declares and warrants that the data provided to Mg Planet during the registration and purchase process are accurate and truthful.

17. Methods of Storage of the Sales Contract

18. Pursuant to Art. 12 of Legislative Decree 70/2003, Mg Planet informs the Consumer that every order and order confirmation sent is stored in digital and/or paper form on the server and/or at the offices of Mg Planet and the hosting service, following criteria of confidentiality and security.

19. 18. Jurisdiction and Competent Court
    • The contracts concluded between Consumers and Mg Planet on the Website are governed by Italian law. In particular, the provisions set out in Articles 49 et seq. of the Italian Consumer Code apply.
    • For any dispute relating to the application, execution, or interpretation of these T&C – Consumer, jurisdiction lies with the court of the place where the Consumer resides or has elected domicile.
    • Without prejudice to the Consumer’s right to bring the matter before the ordinary courts, in the event of disputes between the Consumer and Mg Planet, the Parties may initiate—pursuant to Article 141, paragraph 1 of the Italian Consumer Code—online out-of-court dispute resolution procedures concerning consumer matters. Mg Planet hereby guarantees, in the event of a malfunction or dispute between Mg Planet and the Consumer, its participation in an attempt at amicable settlement that the Consumer may initiate pursuant to Article 141, paragraph 3 of the Italian Consumer Code.

These T&C – Consumer may be subject to updates. Consumers are invited to review the version published on the Site along with its update date.
However, the T&C – Consumer that were published and in force at the time the Sales Contract was concluded shall remain valid and applicable.

19. Final Provisions

These T&C – Consumer repeal and replace any previous agreement, understanding, negotiation, written or oral, entered into between the Parties concerning the subject matter of these T&C – Consumer.

Should one or more provisions of these T&C – Consumer be deemed invalid or declared as such pursuant to the law, the remaining provisions shall continue to be fully valid and effective.

Mg Planet reserves the right to modify, suspend or discontinue sales on the Website. Mg Planet shall in no event be held liable towards Users or third parties for such modification, suspension, or discontinuation.
